WHEREAS, the Artist and the University hereby agree as follows: Term. Artist agrees to perform on the Universitys campus on _____th day of ______, 202_, at _______a.m/p.m. (the Event). The University will provide the building name and campus address of the Event, the Performance Site, to Artist by e-mail notification reasonably in advance of the Event. The Artist shall perform and take breaks as follows: ______. 2. Termination. This Agreement may be terminated by either party no less than thirty (30) days prior to the date of the Event upon written notice to the other party. Notice of termination by the Artist shall be sent to the TV Finance and Business Office and such notice by the University shall be sent to the Artist (or Artists agent if so designated by Artist). If for any reason, except due to an act of God, this Agreement is terminated by the Artist less than thirty (30) days prior to the date of the Event; the Artist shall reimburse the University for its out-of-pocket expenses for the Event within five (5) business days after receipt of a written statement from the University itemizing such expenses. The University may terminate this Agreement with no liability on its part due to any disruptive behavior by the Artist at the Performance Site (or otherwise on the Universitys campus) including, but not limited to, obscene language, threats, physical or psychological abuse, and consuming or being under the influence of alcohol, drugs, or narcotics at any time. The University must receive this Agreement signed by the Artist no later than 5:00 p.m. (CST) three (3) business days prior to the date of the Event. If the University does not receive the original signed Agreement by such day and time, the University may cancel the Artists performance and terminate this Agreement, with no liability to the University. 3. Payment. The University agrees to pay as full compensation to the Artist for the Event the sum of ______________ and no cents ($_______) within eight (8) business days of the Event. Such compensation shall be payable by check made payable to Artist, and accounted for as a payment to Artists Federal Employer Identification Number or Social Security Number on file with the University. Artist shall provide University a completed IRS Form W-9 and such other tax form(s) as may be required by University along with this Agreement when signed by Artist. The Artist shall be solely liable for its costs and expenses, including but not limited to travel, food and compensation for members. The University reserves the right to withhold payment (in whole or in part, as applicable) for alcohol violations, or damage to University property, by Artist, its employees or agents, or for other material breach of this Agreement (including but not limited to Artist not playing specified sets, or taking excessive breaks). 4. Equipment. Artist acknowledges that the University has limited stage and sound equipment and Artist agrees that it will provide all stage equipment or other equipment needed for the Event, except as specifically provided herein: _____. University reserves the right to refuse and forbid requested service, arrangements or equipment as being impermissible on the grounds of safety, security, and/or caution in the operation of the Performance Site. The Artist agrees to reimburse the University for any loss, theft or damage of University facilities or equipment caused by the Artist, its employees, agents or contractors. In the event of a loss, the Artist agrees to pay any applicable deductible or loss even if the loss is covered by insurance. 5. (a) Artist shall indemnify, defend and hold harmless the University, including its Board of Trustees, officers, employees, agents, contractors and volunteers, from any and all liability and claims arising in connection with such liability caused by, or arising out of, death or injury to any person or damage to property, caused by or arising out of activities of Artist, its members, agents, employees or subcontractors in connection with the Event. Artist shall indemnify, defend and hold harmless the University from any and all liability and claims arising in connection with the presentation of the material contained in Artists performance, whether occurring due to defamation, copyright infringement, or otherwise. The Artist agrees to be solely responsible for compliance with any rules or regulations, performance fees, or responsibilities requested by any organization with which the Artist is associated or contractually bound, and the University shall have no liabilities, duty or obligation therefor. (b) The University shall indemnify, defend and hold harmless the Artist, its officers, agents, partners and employees, from and against any and all claims of third parties arising out of or relating to the Universitys acts or omissions which are alleged to be willful or negligent; provided however, that Artist provides the University with prompt written notice of the claim and tenders control of the defense. 6. Insurance. (a) The Artist is required to provide policies of insurance issued by companies authorized to do business in the State of Illinois, and must also provide certificate of insurance (liability) naming TV as an additional insured under the policies in the following amounts: Workers Compensation and Employers Liability Insurance: Statutory Workers Compensation Insurance including occupation disease in accordance with the law; and Employers Liability Insurance with minimum liability limits of $500,000 per employee by accident/ $500,000 per employee by disease/$500,000 policy limit by disease. Commercial General Liability and Umbrella Liability Insurance providing coverage for bodily injury and property damage arising out of the activities to be performed on behalf of the University. Bodily Injury and Property Damage Liability - $1,000,000 each occurrence. Personal Injury and Advertising Liability - $1,000,000 per person or per organization General Policy Aggregate - $1,000,000 (b) The Commercial General Liability policy as required herein shall be endorsed to name TV and all subsidiaries and their respective officers, directors, agents, servants, and employees as Additional Insured for any and all liability occurring at any time arising out of or incidental to this Agreement. 7. Rights. Any and all film, videotape, photographs, negatives, film, or digital replications or forms thereof of the Event taken at said Event by photographers or videographers engaged by the University, along with any and all subsequent photographs subsequently developed from or including said photographs, negatives, film, or digital replications or forms thereof, shall, from the inception of its creation, be considered a work-made-for-hire for the benefit and ownership of the University within the meaning of the Copyright Act of 1976 (Title 17, U.S.C.), as amended. If it is determined that the said photographs, negatives, film, or digital replications or forms thereof and any subsequent photographs or other film developed therefrom do not so qualify, then said photographs, negatives, film, or digital replications or forms thereof developed therefrom to the extent of Artists contributions thereto together with all rights therein (including the sound recording copyright), shall be automatically assigned to the University by this Agreement. Without limiting the generality of the preceding sentence, the University and its designees, as the case may be, shall have the exclusive unrestricted and perpetual right throughout the universe to use, distribute, sell and exploit said photographs, negatives, film, or digital replications or forms thereof and any subsequent products or images developed therefrom in any and all media. 8. Other terms. (a) It is agreed and understood that Artists relationship to the University is that of an independent contractor and Artist shall not be deemed to be an employee of the University. Accordingly, Artist shall not be entitled to any benefits provided by the University to its employees, and the University will make no deductions from any of the payments due to Artist hereunder for any tax or other purposes. Artist shall be responsible for payment of all taxes and insurance applicable under existing laws, including, but not limited to, Social Security taxes, federal, state and local income and payroll taxes, and workers compensation insurance. Artist warrants that Artist will make all necessary payments due appropriate governmental agencies to comply with the foregoing and hereby agrees to indemnify the University against any claims, liabilities, costs, or expenses that may arise out of breach of the foregoing. As Artists relationship with the University during the term of this Agreement will be that of independent contractor, Artist will not have, and will not represent that it has, any power or authority to bind the University, or to assume or create any obligation (either express or implied) on behalf of the University. Nothing stated in this Agreement will be construed as making joint venturers or partners of the University and Artist, nor as creating the relationship of employer/employee, franchisor/franchisee, or principal/agent between the parties. (b) Artist further agrees that is shall conform to, comply with, and abide by all applicable laws of the United States, the State of Illinois, the rules and regulations of all jurisdictional governmental boards and bureaus, including the regulations of the Fire Department and all University policies. Artist shall secure at its expense all licenses, permissions and permits required for performing under this Agreement, and pay all taxes attributable to Artists performance, including without limitation, sales, use, and personal property taxes, and all taxes based upon income. Failure to comply with this provision will be grounds for immediate termination of this Agreement. (c) The University is a Benedictine Catholic institution. The University reserves the right to monitor content of the artists performance and cancel any performance which is inconsistent with the Universitys mission without liability to the University. (d) Artist shall obtain written approval from University for any advertising copy in any medium before it is to appear. University reserves the right to advertise the Event on its own as it sees fit and may use the name of Artist in such advertisements. (e) Sound levels must be kept at a level reasonably acceptable to the University. This level may be below the customary performance level of the Artist. Failure to comply with this provision of the Agreement (after reasonable opportunity to adjust sound levels) may result in immediate termination of this Agreement with payment to Artist to be made on a pro-rata basis for the time spent in performance at the Event. (f) This Agreement including all Exhibits constitutes the entire agreement of the parties hereto and all prior agreements, understandings, representations and warranties, whether written or oral in regard to the subject matter hereof are and have been merged herein. Any change, amendment, or modification to this Agreement must be in writing and signed by both parties hereto in order to be binding. (g) This Agreement shall be governed by the laws of the State of Illinois, without regard to its conflicts of laws principles. The parties hereby consent to jurisdiction in the Circuit Court of DuPage County and the U.S. District Court for the Northern District of Illinois for any disputes arising under this Agreement. In any dispute arising out of or in connection with this Agreement, or in the activities contemplated hereby, the prevailing party shall be entitled to recover its reasonable attorneys fees and costs.
